AM Terms & Conditions
Last Updated: December 16, 2025
1) Acceptance of Terms
By booking or attending an AM Accounting Consultation with ARRK Management ("AM," "we," "us," or "our"), you agree to these Terms & Conditions ("Terms"). If you do not agree, do not book or use our services.
2) Services
Our consultations provide general accounting guidance based on the information you provide. Unless expressly agreed in a signed engagement letter, consultations do not constitute ongoing accounting services, audit, tax filing, or assurance of engagements. Deliverables, scope, timelines, and fees will be confirmed in the booking process or engagement documentation.
3) Eligibility
You must be 18 years or older and able to enter into binding contracts. If booking on behalf of a company, you warrant you have authority to bind that company.
4) Booking, Rescheduling & Cancellations
Our Cancellation Policy applies to all scheduled accounting consultations with ARRK Management. All deadlines and appointment times are based on Pacific Time (PT). Please review the full AM Cancellation Policy, which covers notice requirements, no-shows, late arrivals, rescheduling, emergencies, fees, refunds, and virtual appointment requirements.
5) Fees, Invoices & Payments
- Fees are disclosed during booking or in the contract engagement letter.
- Payment is due for booking upon receipt of the invoice.
- We accept payments via secure third-party payment processors.
- You agree to provide accurate billing information and authorize charges for booked services.
- Past-due balances may accrue late fees as permitted by law.
6) Client Responsibilities
- Provide accurate, complete information and documents in a timely manner.
- Maintain legally obtained records and ensure you have the right to share them.
- Review advice and recommendations; your organization remains responsible for decisions and compliance.
- Do not share confidential or highly sensitive data via insecure channels.
7) No Professional Advice Guarantee / Limitations
Consultations are informational and tailored to the facts you provide. Outcomes may vary; we do not guarantee tax results, regulatory approvals, or financial performance. You should consult your own legal, tax, or financial advisors before taking action.
8) Confidentiality
We treat client-provided information as confidential and use it solely to deliver services, subject to legal obligations and our Privacy Policy. If a separate mutual NDA or contract engagement letter is executed, those terms will supplement or supersede this section.
9) Intellectual Property
All materials, tools, templates, and content we provide, or display are owned by AM or our licensors and are protected by IP laws. You receive a limited, non-exclusive, non-transferable license to use materials for internal purposes in connection with the consultation. You may not reproduce, distribute, or create derivative works without prior written consent.
10) Testimonials & Publicity
If you provide a testimonial, you grant AM permission to use it (name, company, and comments) for marketing, subject to any written limitations you request. We will not disclose confidential engagement details without your consent.
11) Compliance & Anti-Fraud
You agree not to use our services for unlawful purposes, money laundering, or fraudulent activities. We may refuse or terminate services where we reasonably suspect non-compliance or conflicts of interest.
12) Third-Party Tools & Platforms
Bookings, communications, payments, and video calls may use third-party platforms. Your use of those tools is subject to their terms of service and privacy policies. AM is not responsible for third-party failures beyond our reasonable control.
13) Warranties & Disclaimers
Services are provided "as is" and "as available" to the fullest extent permitted by law. AM disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
14) Limitation of Liability
To the maximum extent permitted by law:
- AM will not be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, business interruption, or loss of goodwill.
- AM's total liability for any claim related to the consultation, or these Terms is limited to the amounts you paid to AM for the booking giving rise to the claim.
These limitations do not apply to liability that cannot be excluded under applicable law.
15) Indemnity
You agree to indemnify, defend, and hold harmless AM and its personnel from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your misuse of the services, (b) your breach of these Terms, or (c) your violation of law or third-party rights.
16) Force Majeure
AM is not responsible for delays or failures caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, labor disputes, utility failures, and acts of government.
17) Governing Law; Venue; Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to conflicts of law principles.
Venue: State and federal courts located in Los Angeles County, California, unless otherwise agreed.
Optional (if arbitration is preferred):
- Any dispute shall be resolved by binding arbitration administered by an agreed arbitration organization under its rules.

19) Changes to Terms
We may update these Terms from time to time. The "Last Updated" date reflects the latest revision. Material changes will be communicated via website notice or direct message. Continued use after changes constitutes acceptance.
20) Severability & Waiver
If any provision is held invalid or unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of our rights.
21) Entire Agreement
These Terms, together with the Privacy Policy and any signed engagement letter or supplemental documents, constitute the entire agreement regarding consultations and supersede prior discussions.
